Terms of Service & License Agreement

1.Acceptance of Terms

By using Falcon AI, you acknowledge that you have read, understood, and agree to these Terms.

2.Description of Service

Falcon AI is a proprietary automated trading strategy and tool. It is primarily designed and optimized for MNQ, but also works effectively on MES, YM, and cryptocurrencies such as BTC.

The strategy provides trading signals via TradingView that users can connect to brokers or prop firms through alerts and webhooks. On the Elite plan, Falcon AI is additionally provided as a native NinjaTrader 8 strategy that may auto-execute orders directly within NinjaTrader without any webhook or relay. Your use of any automated execution feature is subject to the terms of your broker and, where applicable, your prop firm.

3.License Grant

Falcon AI LLC grants you a non-exclusive, non-transferable, revocable, limited license to use Falcon AI solely for your personal trading activities during the active subscription period.

4.Restrictions & Intellectual Property

Falcon AI — including its source code, compiled assemblies, algorithms, trading logic, signal methodology, indicator and strategy parameters, configurations, and branding — is the exclusive intellectual property of Falcon AI LLC and is protected by copyright and other applicable laws. The limited license granted in Section 3 conveys a right to use only; no ownership or intellectual-property rights are transferred to you.

You agree that you will NOT, directly or indirectly, in whole or in part:

• Share, transfer, sublicense, or disclose your access, license, credentials, or any downloaded files to any other person or entity;
• Reverse-engineer, decompile, disassemble, decrypt, or otherwise attempt to derive, extract, or reconstruct the source code, algorithms, or underlying logic of Falcon AI;
• Copy, reproduce, modify, or create derivative works based on Falcon AI or any part of it;
• Reimplement, port, translate, or recreate Falcon AI or its trading logic, signals, or methodology — whether by manual or automated means — into any other language, platform, script, indicator, strategy, or format, including but not limited to Pine Script (TradingView), MQL, EasyLanguage, Python, or any other charting or execution platform;
• Redistribute, publish, sell, resell, rent, lease, loan, or otherwise commercially exploit Falcon AI or any derivative, clone, or reimplementation of it;
• Remove, disable, bypass, or circumvent any licensing, authentication, security, or access-control mechanism built into Falcon AI.

These restrictions survive termination of your subscription or this Agreement.

5.Subscription, Payments & Setup Guarantee

• Access to Falcon AI is provided on a paid monthly subscription basis (Basic or Elite), charged at signup.
• Your subscription is backed by our 14-day Setup Guarantee: if you set Falcon AI up correctly and it fires zero signals in the first 14 days, your first month is refunded, as set out in our Refund Policy.
• Automatic renewal. Your subscription renews and bills your payment method automatically each month at the then-current plan price (currently $99/month Basic or $199/month Elite) until you cancel. By starting a subscription, you authorize these recurring monthly charges.
• Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference and includes our first-month Setup Guarantee and our handling of billing errors and duplicate charges. Except as expressly provided in that policy, subscription fees are non-refundable, and we never refund trading or broker losses.
• Cancelling. You may cancel at any time through your Stripe billing portal or by emailing support@thefalconai.com. Cancellation takes effect at the end of the current billing period and stops all future charges; to avoid the next month's charge, cancel before your renewal date. Cancellation does not retroactively refund the current period except as provided in the Refund Policy.

6.Risk Disclosure

Trading futures and cryptocurrencies involves substantial risk of loss. Past performance does not guarantee future results. You are solely responsible for all trading decisions.

Falcon AI is a software tool. The Company is not a registered investment adviser, broker-dealer, or commodity trading advisor, and nothing Falcon AI provides constitutes personalized investment, financial, legal, or tax advice. Full details are in our Risk Disclosure, which is incorporated into these Terms by reference.

7.Limitation of Liability

Service provided "AS IS." Falcon AI and all related signals, indicators, software, and content are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or available at any particular time, or that any signal, indicator, or result will be accurate, profitable, or suitable for your circumstances.

Limitation of liability. To the maximum extent permitted by law, Falcon AI LLC and its owners, members, and affiliates shall not be liable for any trading or investment losses, or for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost data, or business interruption, arising out of or relating to Falcon AI or these Terms, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages. In all cases, our total aggregate liability for any claim arising out of or relating to the service or these Terms shall not exceed the total subscription fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain of these limitations, so some of the above may not apply to you.

8.Termination & Intellectual Property

Falcon AI LLC retains all ownership and rights to Falcon AI. We may terminate or suspend your access at any time, with or without cause.

9.Governing Law

Governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to Falcon AI or these Terms shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.

Class-action waiver. To the maximum extent permitted by law, any dispute will be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You and Falcon AI LLC each waive any right to a jury trial.

10.Indemnification

You agree to indemnify, defend, and hold harmless Falcon AI LLC and its owners, members, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of Falcon AI, your trading or investment decisions, your violation of these Terms, or your violation of any law or the rights of any third party (including any broker, exchange, or proprietary-trading firm).

11.Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Effective Date" shown above and, where appropriate, provide notice by email or on this page. Changes take effect when posted. Your continued use of Falcon AI after changes are posted constitutes acceptance of the updated Terms. If you do not agree to a change, you must stop using the service and cancel your subscription.

12.General

• Eligibility. You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into a binding contract to use Falcon AI.
• Entire agreement. These Terms, together with the Refund Policy and Privacy Policy, constitute the entire agreement between you and the Company regarding Falcon AI and supersede any prior agreements or understandings.
• Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
